Service Agreements

Ongoing services such as technical support, managed hosting, and compliance monitoring are governed by separate service agreements. These Terms apply in addition to any service agreement. In the event of a conflict, the service agreement takes precedence.

Payment Terms

Payment terms are specified in individual service agreements. Unless otherwise agreed:

  • Invoices are due within 30 days of issuance
  • Late payments may incur a fee of 1.5% per month
  • We reserve the right to suspend services for overdue accounts

Limitation of Liability

To the maximum extent permitted by law, LoricaWeb and Almadiva LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of our website or services.

Our total liability for any claim arising from our services shall not exceed the amount paid by you for the specific service giving rise to the claim during the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Almadiva LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of our website or violation of these Terms.

Termination

Governing Law

These Terms are governed by the laws of the State of Washington, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Spokane County, Washington.
